Dispatcher-Carrier Agreement
Effective date: October 23, 2026
This Dispatcher-Carrier Agreement ("Agreement") is entered into between the Carrier (the owner-operator or motor carrier identified in the application) and Truck Dispatching Pro ("Dispatcher").
1. Services
Dispatcher will, on the Carrier's behalf: search for and identify freight, negotiate rates with brokers, review and manage paperwork (rate confirmations, BOLs, PODs), track loads, and coordinate billing and factoring.
2. Fee
Dispatcher charges a flat fee of 4% of the gross revenue of each load booked. No fee is charged for loads that are not booked.
3. No Forced Dispatch
Carrier retains full control over its operations and must approve each load before it is booked.
4. Carrier Obligations
- Maintain active MC/DOT operating authority and required insurance.
- Provide accurate onboarding documents (MC/DOT, COI, W-9, NOA as applicable).
- Comply with all applicable laws and safety regulations.
- Pay Dispatcher's invoices for booked loads in a timely manner.
5. Payment Terms
Dispatcher invoices the Carrier weekly for loads booked during that period. Payment is due upon receipt unless otherwise agreed.
6. Term & Termination
This Agreement is at-will. Either party may terminate at any time upon notice. Fees for loads already booked remain due.
7. Independent Contractor
Dispatcher is an independent contractor and is not an employee, partner, or agent of the Carrier. Dispatcher does not operate as a motor carrier or broker.
8. Limitation of Liability
To the maximum extent permitted by law, Dispatcher shall not be liable for indirect, incidental, or consequential damages, including lost profits. Results are not guaranteed.
9. Governing Law
This Agreement is governed by the laws of the State of Illinois.
10. Acceptance
By submitting the carrier application and checking the agreement acceptance box, the Carrier agrees to the terms of this Agreement.
